Article 18 Issuance of Convertible Bonds

1. The Company may, upon a resolution by the Board of Directors, issue convertible bonds to non-shareholder third parties to the extent that the total amount of the par value of such convertible bonds does not exceed ____ won in the following cases: 

(1) Issuing convertible bonds by general public offering; 

(2) Issuing convertible bonds to financial institutions or institutional investors, domestic or overseas, for the purpose of raising emergency funds; 

(3) Issuing convertible bonds for the purpose of introduction of technology, research and development partnership, or production/sales/capital alliance, all of which are important for the Company's business;
